3. Services & Engagement
- Proposals: All services are outlined in a specific Project Proposal or Quote. The scope of work is strictly limited to what is listed in that document.
- Scope Creep: Any work requested outside the original Proposal will be charged at our standard hourly rate of $250 per hour + GST.
- Timelines: While we aim to meet all deadlines, timelines provided are estimates and depend on the Client providing content and feedback promptly.
4. Client Obligations
To ensure the project runs smoothly, you agree to:
- Provide all necessary text, images, and credentials (e.g., domain login) within 10 business days of request.
- Nominate a single point of contact for decision-making.
- Ensure you have the legal right to use any images or text you provide to us (copyright compliance).
5. Payment Terms
- Deposits: A non-refundable deposit (typically 50%) is required before work commences.
- Milestones: Progress payments may be required as outlined in your Proposal.
- Final Payment: The remaining balance is due before the website goes live or files are transferred.
- Late Fees: Invoices unpaid after 14 days may incur a late fee of 5% per month.
- Ownership: The website code and design remain the property of Truss Digital until full payment is received.
6. Intellectual Property (IP)
- Client Ownership: Upon full payment, you are granted a perpetual, non-exclusive license to use the website design and code for your business.
- Agency Rights: Truss Digital retains the right to use the project in our portfolio and marketing materials. We also retain ownership of any background code, libraries, or frameworks used to build the site.
7. Warranties & Liability
- No Guarantees: While we use best practices for SEO and design, we cannot guarantee specific Google rankings, traffic numbers, or sales results.
- Limitation of Liability: To the maximum extent permitted by Australian Consumer Law, Truss Digital’s liability for any claim related to these services is limited to the total amount of fees paid by the Client for that specific project. We are not liable for indirect losses, data loss, or business interruption.
- Third-Party Tools: We are not responsible for changes or downtime caused by third-party tools (e.g., Google, Hostinger, WordPress plugins).
8. Termination
- By Client: You may terminate the project at any time in writing. You will be invoiced for all work completed up to that date. Deposits are non-refundable.
- By Agency: We may terminate the agreement if the Client breaches these terms (e.g., fails to pay invoices or is unresponsive for more than 30 days).
9. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of NSW.
